The corporate group provides a full spectrum of corporate transactional matters, including corporate finance, corporate governance, restructuring and private equity transactions and international and domestic sales contracts. We have assisted foreign and domestic multinational corporations, financial institutions, banks, public and privately held companies, start-ups and governmental entities in general corporate matters and transactions. We work closely with officers, directors and shareholders of our clients to provide effective and efficient solutions to their operational and expansion plans including acquisitions. We assist closely held entities in maintaining shareholder relations and providing long-term advice on preventing avoidable shareholder disputes.

Representative Matters
- Corporate compliance and governance services to public and closely-held corporations, limited liability companies, limited partnerships and non-profit entities including organization, capital structuring, SEC compliance, stock exchange compliance corporate governance and best practices, shareholders and directors meetings and minutes, personnel policies and guidelines, stock options, parachutes and employment agreements and formulation and implementation of strategies for mergers and acquisitions for public and privately held companies.
- Preparation of agreements in all types of commercial transactions with particular expertise in information technology staffing, construction, e-commerce, real estate, biotechnology and motor vehicle, equipment leasing.
- Establishment of branch offices for subsidiaries in domestic and foreign jurisdictions and acquisition of all necessary domestic licenses and permits in the operation of a business.
- Preparation, review and negotiation of all types of corporate finance documentation including, working capital, revolving credit, warehouse and floor plan.
- Represented a company engaging in oil throughput on certain asbestos and leaching issues at its facilities.
- Represented lead investors in a private placement of up to $3,000,000 in start-up company developing high tech biometric identification solutions.
- Establishment for a biotech company of a commercialization program for drug product.
- Negotiated and developed domestic and international distribution agreements and licensing arrangements related to intellectual property and manufactured products. Negotiating and preparing for a major investment bank its information technology agreements for its primary accounting, payroll and human resources systems.
- Representation of an information technology staffing client in the sale of its corporate assets.
- Private placements for the investor and the issuer and high net worth individual in its venture capital fund investment.
- Review, advice and coordination of environmental remediation programs and identification of environmental matters including reportable events.
- Establishment of branch offices for subsidiaries in domestic and foreign jurisdictions and acquisition of all necessary domestic licenses and permits in the operation of a business.
